Now that you bring it up, I am also interested in knowing whether there

implications or repercussions to us making a decision based on corporate,

I am not arguing about the reasons for or against the nomcom being a 
different
sort of process and therefore this being in some sense appropriate.  I 
am asking
about implications it has for the nature of the organization and its legal
liabilities.
